Jacob Gunst has extensive experience and expertise in assisting Danish and international businesses with solving complex corporate and contract law matters, including investor and shareholder issues, reorganisations and investments – particularly within the life sciences and tech sectors.
He also provides strategic advice on alternative deal structures, including partnering models and collaborations.
Jacob is highly experienced in venture capital transactions and has guided numerous clients through funding rounds, portfolio company exits, M&A transactions and pre-IPO structuring matters or capital raises. His expertise extends to carve-outs, business combinations and selecting the most suitable transaction structure. In this context, he advises on investment agreements, shareholder agreements, the use of share class structures and various share instruments. Additionally, he assists with designing share-based incentive schemes for both listed and private companies.
On a regular basis, Jacob supports clients in drafting and negotiating a wide range of commercial contracts, including supply and production agreements, as well as collaborative projects such as consortia and joint ventures in Denmark and cross-border.
From an investment perspective, his experience spans the entire value chain, from the formation of sector-focused private equity funds and ongoing capital raises from limited partners to regulatory and governance-related matters.
